First offer is much better then the second.

Roto is like 140 ish? and dru+m20 is 60. So it's about 200 value.

What you offered is about 160 value so its profit.

Second offer is like less then 100 value.

I wouldn't do either deal, the Dorm Wyrm is worth under 100 EP and the Dru is worth 30-40 max. AA with skills like creation down or mystic down, especially non-winged wyrms, aren't very desired and generally sell well below their "value".
